Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ComplyPanel service, website, and related tools (collectively, the “Service”). Please read them carefully.
By creating an account, installing the ComplyPanel snippet, accessing the dashboard, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Definitions
For ease of reading:
- “We”, “us”, “our” means Wooli Oy, the provider of ComplyPanel.
- “You” means the customer (individual or legal entity) that creates an account or uses the Service.
- “Account” means your registered user account on ComplyPanel.
- “Organization” or “Workspace” means the company, project, or entity associated with your Account within the Service.
- “Content” means any text, data, documents, links, images, configurations, or other material you upload, submit, or manage through the Service, including the security and compliance information shown in the ComplyPanel widget.
- “Widget” means the embeddable ComplyPanel panel/badge/snippet that can be placed on your website or web application.
2. Description of the Service
ComplyPanel transforms your compliance documents from a messy footer into a professional, interactive trust center.
Key features include:
- Embeddable Compliance Panel: A badge/panel you can embed on your website via a small JavaScript snippet.
- Centralized Content Management: A dashboard where you manage security practices, data protection details, policies, and related information.
- Hosted Document & Link Sharing: The ability to upload documents (e.g. PDFs) and store links that can be displayed in the Widget.
- Custom Certification Display: Display of certifications and compliance statuses (e.g. ISO 27001, SOC 2, “in progress”).
We may modify, improve, or remove features from time to time as part of normal product development.
The Service is intended for business and professional use, not for consumers or children.
3. Eligibility and Account Registration
To use ComplyPanel, you must:
- be at least 18 years old (or the age of legal majority in your jurisdiction),
- have the authority to enter into these Terms on behalf of yourself or your organization, and
- comply with these Terms and all applicable laws.
When registering an Account, you must provide accurate and complete information, including your:
- full name,
- email address,
- password,
- organization name.
You are responsible for:
- keeping your login credentials confidential,
- all activity that occurs under your Account, and
- notifying us promptly of any unauthorized access or suspected security incident involving your Account.
We reserve the right to refuse, suspend, or terminate Accounts at our discretion where we reasonably believe these Terms have been violated or the use is abusive, unlawful, or creates security risks.
4. Subscription Plans, Fees and Billing
4.1 Plans and Pricing
Some parts of the Service may be offered free of charge, while others require a paid subscription (“Subscription”). The specific features available to you and the applicable fees will depend on the plan you select.
We may change our prices and Subscription plans from time to time. Changes will not apply retroactively to already paid periods, and we will give you reasonable notice of any price changes that affect your future billing.
4.2 Payments
- Payments are processed by our third‑party payment processor, Stripe.
- You authorize us and Stripe to charge the applicable fees to your chosen payment method.
- We do not store your full credit card details; we store only Stripe customer and subscription identifiers.
By subscribing, you agree to:
- pay all applicable fees when due,
- provide and maintain accurate billing information,
- ensure that your payment method remains valid and funded.
4.3 Automatic Renewal and Cancellation
Unless otherwise stated:
- Subscriptions renew automatically at the end of each billing period (monthly or annually).
- You can cancel your Subscription at any time through your Account settings or by contacting us.
When you cancel:
- Your Subscription will remain active until the end of the current billing period.
- We do not typically provide refunds for partially used periods, except where required by law.
We may suspend or cancel your Subscription if payments are overdue or if we reasonably believe you are violating these Terms.
5. Use of the Service
5.1 License to Use the Service
Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- access and use the dashboard for your internal business purposes, and
- install and display the ComplyPanel Widget on websites or applications you own or control.
You may not resell or sublicense the Service to third parties, unless we have agreed to this in writing.
5.2 Acceptable Use
You agree not to:
- use the Service for any illegal, harmful, fraudulent, or abusive purpose;
- attempt to gain unauthorized access to the Service or related systems;
- interfere with or disrupt the integrity or performance of the Service;
- reverse engineer, decompile, or attempt to derive source code from the Service, except where permitted by law;
- upload or transmit any Content that:
- violates applicable laws or regulations,
- infringes the rights of others (including privacy, intellectual property, or contractual rights),
- contains malicious code (e.g. viruses, malware, scripts designed to disrupt systems).
You are responsible for ensuring that your use of the Service (and the Content you publish via the Widget) complies with all applicable laws and regulations, including privacy and data protection laws (such as GDPR), marketing/communications rules, and sector-specific regulations.
6. Your Content and Responsibilities
6.1 Ownership of Content
You retain all rights to the Content you upload, submit, or manage through the Service. We do not claim ownership of your Content.
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, process, and transmit your Content only as necessary to:
- operate and provide the Service,
- maintain security and performance,
- comply with legal obligations and enforce our rights.
We do not use your Content for advertising or unrelated purposes.
6.2 Your Responsibility for Content
You are solely responsible for:
- the accuracy, quality, legality, and completeness of your Content;
- ensuring that you have the necessary rights and permissions (including consents, where required) to use and publish your Content through the Service and the Widget;
- avoiding uploading or exposing sensitive personal data unless strictly necessary and lawful.
In particular, you are responsible for:
- any personal data of your own customers, users, or employees that appears in your ComplyPanel configuration, documents, or links;
- ensuring that the Content you display as your “Security & Compliance” information is truthful, up‑to‑date, and not misleading.
We are not responsible for reviewing or verifying the accuracy of your Content, including any compliance or security claims you make.
6.3 Removal of Content
We may remove or disable access to Content if:
- we reasonably believe it violates these Terms, applicable law, or third‑party rights; or
- we are required to do so by law or competent authority.
Where appropriate and legally permissible, we will notify you of such removal and give you an opportunity to address the issue.
You can delete your Content at any time via the Service, subject to any legal obligations we may have to retain certain data for a limited period (see our Privacy Policy).
7. Data Protection and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data.
By using the Service, you acknowledge that:
- we act as a data controller for your account data, billing data, and basic usage data, and
- we may act as a data processor for certain personal data contained in your Content (such as documents or compliance information you manage via ComplyPanel), processing it on your behalf and according to your instructions.
You are responsible for:
- complying with your own data protection obligations as a data controller, and
- entering into any required data processing agreement (DPA) with us, where applicable, especially for EU/EEA customers under GDPR.
We use third‑party sub‑processors, including:
- Firebase (by Google) for authentication, database, and storage,
- Stripe for payment processing,
- Emailit.com for transactional email delivery,
- Vercel for hosting the application.
Details of our data processing and sub‑processors are provided in our Privacy Policy and/or separate DPA.
8. Availability and Support
We will use reasonable efforts to keep the Service available and functional. However:
- The Service may be temporarily unavailable due to maintenance, upgrades, or technical issues.
- We may make changes, improvements, or fixes to the Service at any time.
Unless otherwise agreed in writing:
- there is no guaranteed service level (SLA),
- support is provided on a reasonable efforts basis via email or other channels indicated on our website.
We aim to respond to support requests within a reasonable time, but we do not guarantee specific response or resolution times.
9. Intellectual Property
9.1 Our IP
The Service, including all software, code, designs, logos, trademarks, and other materials we provide (excluding your Content), are owned or licensed by us and are protected by intellectual property laws.
Except for the limited rights granted to you in these Terms, no other rights or licenses are granted.
You agree not to:
- remove or obscure any copyright, trademark, or other proprietary notices,
- use our name, logos, or trademarks without our prior written permission, except as necessary to identify that you are using ComplyPanel as part of your website’s trust/compliance presentation.
9.2 Feedback
If you provide feedback, suggestions, or ideas about the Service (“Feedback”), you grant us a non‑exclusive, perpetual, irrevocable, royalty‑free license to use the Feedback for any purpose, including improving and developing the Service, without any obligation to you.
10. Third‑Party Services
The Service may integrate with third-party services or contain links to third‑party websites or resources (e.g. when you embed external links, or when we connect to Stripe).
We do not control, endorse, or assume responsibility for third‑party services or content. Your use of those services may be subject to separate terms and privacy policies.
You are responsible for reviewing and complying with the terms of any third‑party services you choose to use or link to through ComplyPanel.
11. Disclaimers
To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied.
We do not warrant that:
- the Service will be uninterrupted, secure, or free of errors,
- the Service will meet your specific requirements or expectations,
- any compliance, security, or legal statements you publish using the Service will satisfy regulatory requirements, contractual obligations, or the requests of your customers.
ComplyPanel is a tool to help you present and organize your own compliance information. It does not constitute:
- legal advice,
- compliance certification,
- a guarantee that your organization is compliant with any particular standard or regulation.
You should consult your own legal, security, or compliance professionals for advice about your obligations.
12. Limitation of Liability
To the maximum extent permitted by law:
- We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
- Our total aggregate liability arising out of or related to these Terms and your use of the Service will not exceed the amount you have paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence,
- fraud or fraudulent misrepresentation,
- any other liability that cannot be excluded or limited under applicable law.
Some jurisdictions do not allow certain disclaimers or limitations of liability. In such cases, the above limitations apply only to the extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless us and our officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- your use of the Service,
- your Content (including any personal data you process or publish),
- your violation of these Terms or applicable law,
- your infringement of any rights of a third party (including intellectual property, privacy, or contractual rights).
We will notify you promptly of any claim and allow you to control the defense and settlement, subject to our right to participate with our own counsel at our expense.
14. Suspension and Termination
We may suspend or terminate your access to the Service, in whole or in part, if:
- you materially breach these Terms and do not remedy the breach within a reasonable time after we notify you,
- you misuse the Service or create security or legal risks for us or others,
- we are required to do so by law or regulatory authorities.
You may terminate your Account at any time by contacting us or using the tools provided in the Service.
Upon termination:
- your right to use the Service ends,
- we may delete or restrict access to your Content after a reasonable period, subject to legal retention requirements.
Sections that by their nature should survive termination (such as ownership, disclaimers, limitations of liability, indemnity, governing law, and dispute resolution) will continue to apply.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- update the “Last updated” date at the top of the Terms, and
- where appropriate, notify you via email or through the Service.
By continuing to use the Service after the updated Terms become effective, you agree to be bound by the revised Terms. If you do not agree, you must stop using the Service.
16. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of Finland, excluding its conflict of laws rules and excluding the UN Convention on Contracts for the International Sale of Goods.
If you are a business user:
- Any disputes arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Helsinki, Finland.
If you are considered a consumer under applicable law in the EU/EEA:
- you may have the right to bring claims in the courts of your country of residence,
- and you may have access to consumer dispute resolution mechanisms as provided by local law.
Nothing in this section limits any rights you may have under mandatory law.
17. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy and any DPA or written agreement we enter into with you, constitute the entire agreement between you and us regarding the Service.
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
- Language: If we provide a translation of these Terms, the English version will prevail in case of any discrepancy, unless otherwise required by local law.
